Payment terms connect money to defined commercial milestones. A percentage alone says little unless the quotation identifies configuration approval, production release, inspection, shipping documents, title/risk arrangements and remedies when a requirement is not met.
Direct recommendation
Negotiate terms for the exact order and relationship. Use a signed sales contract or purchase order, verify beneficiary bank details through an independent channel, define required documents and release authority, and obtain banking or legal advice for trade-finance instruments. MERI terms are confirmed in a dated quotation.

Decision framework
| Stage | Control |
|---|---|
| Contract base | Parties, goods, configuration, price, currency and Incoterm |
| Milestones | Deposit/order release, approvals, inspection and shipment |
| Evidence | Invoice, acceptance/inspection record and transport documents |
| Banking | Verified beneficiary, fees, timing and instrument rules |
| Exceptions | Change, delay, failed inspection, cancellation and dispute path |
Define what payment buys
Attach the payment schedule to an exact quotation revision and delivered scope. Keep machine price, options, spares, inspection, freight and destination costs visible.
Choose milestones that can be proven
Use events such as signed order, configuration approval, production completion, accepted inspection or document presentation. Avoid vague wording such as “when ready.”
Understand the payment instrument
Open account, advance payment, collection and letters of credit allocate risk differently. Trade.gov notes that a letter of credit is a bank commitment triggered by compliant document presentation; it does not itself inspect the machine.
Control bank-detail fraud
Verify any new or changed beneficiary through an established independent contact. Do not rely only on an email thread requesting urgent redirection.
Align inspection and release
State who accepts the report, what constitutes failure, whether reinspection is required and whether payment or shipment can proceed with open items.
Record amendments
Configuration, quantity, dates or document changes may affect price and banking terms. Approve revisions through the same authorised parties.
Records to prepare
- Exact product, configuration, order revision and responsible parties.
- Dates, evidence, approvals and unresolved exceptions.
- Commercial, inspection or service documents controlling the decision.
- Written next action and authorised release or escalation.
